Duties of directors

53   (1)A director of a society must, when exercising the powers and performing the functions of a director of the society,

(a)act honestly and in good faith with a view to the best interests of the society,

(b)exercise the care, diligence and skill that a reasonably prudent individual would exercise in comparable circumstances,

(c)act in accordance with this Act and the regulations, and

(d)subject to paragraphs (a) to (c), act in accordance with the bylaws of the society.

(2)Without limiting subsection (1), a director of a society, when exercising the powers and performing the functions of a director of the society, must act with a view to the purposes of the society.

The current situation of the Victoria Orchid Society is that the executive of the society is not representing the members. There is a communication breakdown creating a lack of transparency between the executive and the membership. This is one of the main reasons why the clubs facebook page was taken down without consent of the membership by a member under direction of the president. Pressure has been put on the current directors to keep everything going - even though the present situation is not clear to membership.

Why was the facebook page deleted? Because it was thought, it was not needed anymore. Reality is - it is needed more than ever as almost everyone is on facebook.

Under the current executive the interests of the society have fallen behind personal interests and closed minded views to keep the society at the current size instead of growing the membership. The President and Vice President need to be held accountable to the choices and actions as they may not represent the society.

As a new director writing this - I ask the members… What happened to cause 7 directors to resign?
